Terms of Use. The honest small print.

A plain-English (and plain-Hindi-where-needed) outline of how this website works, how our projects run, and what both sides can expect from each other. No legalese for the sake of it.

About Wipily

"Wipily", "we", "us", and "our" refer to the Wipily brand and the legal entity or individual operating it.

Wipily provides services including, but not limited to: website design, website development, UI/UX design, branding and visual identity, product design, landing pages, digital experiences, website redesigns, and ongoing design and development support.

Specific services, deliverables, timelines, fees, and responsibilities will be defined in the applicable proposal, quotation, statement of work, invoice, or project agreement.

02

Acceptance of These Terms

By using the Wipily website, submitting an enquiry, requesting a proposal, or engaging Wipily for services, you agree to comply with these Terms and any additional terms specifically agreed upon for your project.

For client projects, the applicable proposal, quotation, statement of work, or service agreement will form part of the agreement between you and Wipily.

Electronic communications, approvals, confirmations, and acceptances may be used for project coordination and agreement where legally permitted.

03

Website Use

You may use this website only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the website in violation of any applicable Indian law or regulation.
  • Attempt to gain unauthorised access to the website, its server, database, or related systems.
  • Introduce viruses, malware, malicious code, or other harmful technology.
  • Interfere with the security, performance, or normal operation of the website.
  • Copy, reproduce, scrape, republish, or commercially exploit website content without written permission.
  • Misrepresent your identity or affiliation with Wipily.
  • Use information obtained from the website for spam, harassment, fraud, or other unlawful activity.
  • Use automated systems to copy or monitor substantial portions of the website without our prior written permission.

We reserve the right to restrict or terminate access to the website where we reasonably believe these Terms have been violated.

04

Our Services

Wipily provides creative, design, development, and related digital services.

Every project is different. Accordingly, the exact scope of work, deliverables, timeline, technology, number of revisions, payment schedule, and responsibilities will be determined on a project-by-project basis.

Information displayed on this website is for general information and does not constitute a binding offer to provide any particular service at a particular price unless expressly stated otherwise.

A project officially begins only after the applicable proposal or agreement has been accepted and any required initial payment has been received.

05

Project Scope

Before starting a project, Wipily will establish the agreed scope of work. The scope may include:

  • Deliverables
  • Number of pages or screens
  • Design requirements
  • Development requirements
  • Integrations
  • Content requirements
  • Estimated timeline
  • Revision rounds
  • Project fee
  • Payment milestones
  • Client responsibilities
  • Launch and handover requirements

Requests outside the agreed scope may be treated as additional work and may require additional fees and/or time. We will communicate material scope changes before proceeding wherever reasonably practicable.

06

Fixed Cost Projects

For projects agreed under a Fixed Cost Model, the agreed project fee covers the deliverables specifically included in the approved scope.

A fixed project fee does not automatically include:

  • New features requested after approval
  • Additional pages or screens
  • New functionality
  • Major changes to an approved design direction
  • Additional revision rounds
  • Third-party subscriptions
  • Paid plugins, fonts, stock assets, APIs, hosting, domains, or other external services
  • Content creation unless expressly included
  • Ongoing maintenance after the agreed project period

Additional requirements may be quoted separately.

07

Ongoing Support

Where Wipily provides ongoing design or development support, work will be handled according to the applicable monthly or recurring support agreement.

Requests may be prioritised according to urgency, complexity, dependencies, and available capacity.

Ongoing support does not necessarily mean that every request will be completed immediately. Delivery timelines depend on the nature and complexity of the request.

Unused support capacity, request queues, rollover arrangements, cancellation terms, and other commercial conditions will be governed by the applicable support agreement or proposal.

08

Fees and Payments

Project fees and payment schedules will be communicated in the applicable proposal, quotation, invoice, or agreement.

Unless otherwise agreed in writing, Wipily may require an initial advance payment before project work begins.

For fixed-cost projects, a typical payment structure may include: Initial payment → Design / development milestones → Final payment → Handover / launch.

All applicable taxes, government charges, payment-gateway charges, third-party subscriptions, hosting, domains, licences, and other external costs will be handled as specified in the applicable proposal or invoice.

Invoices are payable by the due date stated on the invoice. If a payment becomes overdue, Wipily may pause project work until the outstanding amount is resolved. A project pause caused by delayed payment may affect the original delivery timeline.

09

Client Responsibilities

To deliver a project effectively, clients are expected to:

  • Provide accurate project information.
  • Provide required text, images, logos, brand assets, credentials, and other materials in a timely manner.
  • Provide feedback within reasonable timeframes.
  • Review and approve deliverables when requested.
  • Ensure that materials supplied to Wipily may legally be used for the project.
  • Provide access to required third-party platforms where applicable.
  • Nominate an appropriate person for project communication and approvals.

Wipily is not responsible for delays caused primarily by missing information, delayed approvals, unavailable credentials, third-party services, or other matters outside our reasonable control.

10

Revisions and Approvals

The number of included revision rounds, where applicable, will be stated in the project proposal or agreement.

A revision means a reasonable adjustment to an agreed direction or deliverable. A complete change of direction, redesign after approval, or significant expansion of requirements may be treated as additional work.

Once a deliverable has been approved by the client, subsequent substantial changes may incur additional fees and may affect the delivery schedule.

Approvals provided through email, project-management tools, messaging platforms, or other agreed communication channels may be treated as project approvals.

11

Content and Client Materials

The client remains responsible for the accuracy, legality, and ownership of content and materials supplied to Wipily. This includes:

  • Logos, photographs, videos, written content
  • Product and customer information
  • Trademarks, fonts, illustrations
  • Third-party assets and other intellectual property

You represent that you have the necessary rights or permissions to provide such materials to us.

Wipily is not responsible for claims arising from materials supplied by the client where Wipily has reasonably relied upon the client's representation of ownership or permission.

12

Intellectual Property

Unless otherwise agreed in writing, Wipily retains ownership of its pre-existing intellectual property, systems, processes, reusable components, frameworks, templates, methodologies, know-how, and internal tools.

Upon full payment of all amounts due for a project, ownership or licence rights for the final project deliverables will be transferred to the client to the extent specified in the applicable proposal or agreement.

Third-party software, fonts, plugins, stock assets, APIs, frameworks, hosting services, and other third-party materials remain subject to their respective licences and terms. Payment for a project does not automatically transfer ownership of third-party intellectual property.

13

Wipily Portfolio Rights

Unless the client has requested confidentiality in writing or the project agreement states otherwise, Wipily may display completed work in its portfolio, website, presentations, social media, case studies, awards submissions, and other promotional materials.

Where appropriate, Wipily may identify the client and provide a link to the client's website.

For confidential, unreleased, or sensitive projects, the parties may agree on a specific portfolio release date or confidentiality arrangement.

14

Third-Party Services

A project may depend on services provided by third parties, including: domain registrars, hosting providers, Webflow, WordPress, Shopify, Wix, Framer, payment gateways, cloud providers, analytics platforms, email services, APIs, plugins, stock libraries, and font providers.

Wipily does not control third-party services and cannot guarantee their continued availability, pricing, functionality, security, or policies.

Any third-party fees are generally the client's responsibility unless expressly included in the project agreement.

15

Website Availability

We aim to keep the Wipily website available and accurate, but we do not guarantee that the website will always be available without interruption, free from errors, completely secure, free from harmful components, or completely current or accurate.

We may modify, suspend, update, or discontinue portions of the website without prior notice where reasonably necessary.

16

Third-Party Links

The Wipily website may contain links to third-party websites or services.

These links are provided for convenience and do not necessarily represent an endorsement or partnership.

Wipily is not responsible for the content, security, availability, privacy practices, or policies of third-party websites. Your use of third-party services is subject to their respective terms and policies.

17

Confidentiality

Where Wipily receives confidential business, technical, financial, product, customer, or other information from a client, we will take reasonable steps to treat such information as confidential.

Confidential information does not include information that:

  • Is already publicly available;
  • Becomes publicly available without breach of confidentiality;
  • Was lawfully known to Wipily before disclosure;
  • Is independently developed without using the confidential information; or
  • Is required to be disclosed by applicable law or lawful authority.

Where a project requires stronger confidentiality obligations, the parties may enter into a separate Non-Disclosure Agreement.

18

Cancellation and Termination

Either party may request termination of a project subject to the terms of the applicable project agreement.

If a client cancels a project after work has commenced:

  • Fees for work already completed may remain payable.
  • Approved third-party expenses may remain payable.
  • Work completed but not yet delivered may remain subject to payment.
  • Any refund will be determined according to the applicable agreement and applicable law.

Wipily may suspend or terminate services where payments remain overdue, the client repeatedly fails to provide required information or approvals, the project is materially changed beyond its original scope without agreement, the client engages in unlawful or abusive conduct, or continuing the engagement would create a legal, security, or ethical concern.

19

Refunds

Because design and development services involve time, expertise, and work performed specifically for a client, refunds are not automatically available for work already completed.

Any refund, credit, or adjustment will be handled according to the applicable proposal, invoice, project agreement, and applicable law.

Third-party costs that Wipily has already paid on the client's behalf may not be refundable where the third-party provider does not provide a refund.

20

Timelines and Delays

Project timelines are estimates unless a specific delivery date has been expressly agreed in writing.

Timelines may change because of: delayed client feedback, missing content, delayed payments, scope changes, additional revision rounds, third-party platform issues, technical dependencies, force majeure events, or other circumstances outside Wipily's reasonable control.

Where a delay occurs, Wipily will make reasonable efforts to communicate the revised timeline.

21

Disclaimers

The Wipily website and its content are provided on an "as available" basis.

To the maximum extent permitted by applicable law, Wipily makes no guarantee that the website or its content will always be uninterrupted, error-free, completely accurate, or suitable for every particular purpose.

Project outcomes can depend on factors outside Wipily's control, including market conditions, customer behaviour, third-party platforms, search-engine algorithms, advertising performance, technical infrastructure, and client implementation.

Accordingly, Wipily does not guarantee specific business results, revenue, traffic, search rankings, conversions, leads, or other commercial outcomes unless expressly agreed in writing.

22

Limitation of Liability

To the maximum extent permitted by applicable law, Wipily and its representatives will not be liable for indirect, incidental, special, consequential, or punitive losses arising from use of the website or services.

This may include, where legally permissible: loss of profits, loss of revenue, loss of business opportunities, loss of data, loss of goodwill, or business interruption.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable Indian law.

23

Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold Wipily harmless from claims, losses, liabilities, damages, and reasonable costs arising from:

  • Your breach of these Terms;
  • Your unlawful use of the website or services;
  • Materials supplied by you that infringe third-party rights;
  • Your violation of applicable law; or
  • Your misuse of the website or project deliverables.

This clause applies only to the extent permitted by applicable law.

25

Electronic Communications

When you communicate with Wipily electronically, including through email, website forms, messaging platforms, or other agreed digital channels, you consent to receiving project-related communications electronically where permitted by law.

Electronic records and contracts are recognised under India's information-technology framework, subject to applicable requirements.

26

Wipily does not discriminate between clients based on their location within India. Commercial terms may vary based on project scope, complexity, timelines, and required resources.

27

Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of India.

Subject to applicable law, disputes arising from or relating to these Terms or the services provided by Wipily shall first be addressed through good-faith discussion between the parties.

If the dispute cannot be resolved amicably, the parties may pursue remedies available under applicable Indian law.

Subject to applicable law and any separate written agreement between the parties, courts having jurisdiction in Gorakhpur, Uttar Pradesh, India shall have jurisdiction over disputes arising from these Terms.

For a specific project, the applicable proposal or service agreement may contain additional dispute-resolution or jurisdiction provisions.

28

Changes to These Terms

We may update these Terms from time to time. When we make changes, the updated version will be published on this page with a revised "Last Updated" date.

Your continued use of the website after updated Terms are published constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

29

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable while preserving its intended purpose.

The remaining provisions will continue to remain in effect.

30

Entire Agreement

These Terms, together with our Privacy Policy and any applicable proposal, quotation, statement of work, invoice, service agreement, or other written agreement, constitute the agreement applicable to your use of the website and, where relevant, your engagement with Wipily.

If there is a conflict between these Terms and a specific written project agreement, the specific project agreement will control for that project to the extent of the conflict.
